3. Privacy and Data Protection

Warranties that services will be uninterrupted, secure, or error-free

Warranties that defects will be corrected or that our servers are virus-free

2. Limitation of Liability

To the maximum extent permitted by applicable law, LambdaCore and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Business interruption or loss of business opportunities
Damages arising from your access to or use of our services
Damages resulting from unauthorized access to your account or data
Any third-party content or conduct on or through our services

Our total liability for any claims under these Terms and Conditions shall not exceed the amount you paid to us in the twelve months prior to the event giving rise to the claim, or ¥10,000, whichever is greater.

3. Consequential Damages Exclusion

Under no circumstances shall LambdaCore be liable for any consequential, indirect, special, or incidental damages, including but not limited to loss of anticipated profits, loss of business, loss of data, or cost of procurement of substitute services, arising out of or related to these Terms and Conditions or your use of our services, regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

4. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, labor disputes, governmental actions, internet failures, or any other force majeure event. In such cases, our obligations under these Terms and Conditions shall be suspended for the duration of the force majeure event.

Legal Information and Dispute Resolution

1. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without giving effect to any principles of conflicts of law. You consent to the exclusive jurisdiction and venue of courts in Tokyo for all disputes arising out of or relating to these Terms and Conditions or your use of our services.

2. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions:

The parties agree to first attempt to resolve the dispute through good faith negotiations
If negotiations fail within 30 days, the parties may pursue mediation
Any unresolved disputes shall be submitted to the exclusive jurisdiction of the courts in Tokyo
Each party shall bear its own costs and expenses related to dispute resolution

3. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The validity, legality, and enforceability of the remaining provisions shall not be affected or impaired in any way.

4. Waiver and Entire Agreement

No waiver by LambdaCore of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition. Any failure by us to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other legal notices published by us on our website, constitute the entire agreement between you and LambdaCore concerning your use of our services and supersede all prior agreements and understandings with respect to the same.

Modification of Terms

We reserve the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. Changes will be effective immediately upon posting to our website unless otherwise specified. We will update the "Last updated" date at the top of this page when changes are made.

If you have enrolled in a paid program, termination does not automatically entitle you to a refund. Please refer to our refund policy or contact us for information about applicable refund terms.

Assignment

You may not assign, transfer, or sublicense these Terms and Conditions or any of your rights or obligations hereunder without our prior written consent. We may assign, transfer, or delegate any of our rights and obligations without restriction or notification.

Interpretation

The section headings in these Terms and Conditions are for convenience only and shall not affect their interpretation. References to "including" mean "including without limitation." The word "or" is disjunctive but not exclusive.

Language

These Terms and Conditions may be translated into other languages for your convenience. In the event of any conflict between the English version and a translated version, the English version shall prevail.
